Undercover sold for about £2.8m

Human Made will pay ¥554m in cash for all of Undercover, the Tokyo-listed streetwear group disclosed on Saturday, and founder Jun Takahashi will give up his corporate duties at the label to work only on design.

That is roughly £2.8m for one hundred per cent of a house that has shown at Paris Fashion Week for two decades, according to Business of Fashion, which reported the figure and the change to Takahashi's role.

The Japanese trade site Fashionsnap gave the acquisition amount as ¥538m when it carried the news on Friday. The two figures have not been reconciled publicly, and the gap is likely to be the difference between share consideration and total transaction cost. Either way the number is small. Human Made itself listed on the Tokyo Stock Exchange last November, the first streetwear company to do so.

The structure was set out in June. Human Made's board approved a non-binding letter of intent on 15 June covering all shares in Undercover Co. Ltd, with the price left to an independent valuation, WWD reported at the time. Jun Takahashi held 80 per cent of the company and Hiroshi Takahashi the remaining 20.

Ownership is due to transfer in February 2027, with Undercover consolidated into the group in the first quarter of the financial year ending January 2028.

A cash figure for equity is not an enterprise value, and it tells you nothing about what debt sits inside the company or where the trademarks are held. Nor is a valuation agreed between two men who have known each other for thirty-three years a market-clearing price. Human Made said in June that it expected to use its management capabilities to change Undercover's business model, which is a phrase that usually means the model was not working.

Undercover's distribution outside Japan has long been thin relative to its reputation, and a brand that is famous everywhere and stocked in few places is exactly the asset that trades below what its cultural weight suggests.

What the disclosure does establish is the shape of the deal. Takahashi is being separated from the company that carries his name, keeping the part he presumably wanted to keep, and Nigo's group takes the rest.

That separation is now the standard arrangement in Japanese fashion rather than an exception. Terumichi Nakajima showed his first TELMA collection since transferring the business to United Arrows over the weekend, and told Fashionsnap the new setup let him deal purely with what he wanted to make.

Human Made was founded by Nigo in 2010. Its investors include Pharrell Williams, with whom Nigo launched Billionaire Boys Club and Ice Cream, and the two men are creative directors of Louis Vuitton menswear and Kenzo respectively.

The pair collaborated on a Human Made x Undercover collection last year, which is when the commercial relationship that produced this deal became visible.

In 1993 Nigo and Takahashi opened a shop in Harajuku called Nowhere and split it between them, A Bathing Ape on one side and Undercover on the other.
